Terms of service

These Terms of Service ("Terms") govern your access to and use of the Momentumpro platform ("Service"), operated by T&C Technologies LTD, a company registered in Israel (Company Reg. 516092582), with its registered office at Hizma Street 7, Beit Hanina, Jerusalem, Israel ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Definitions

"Customer" means the entity that has subscribed to the Service. "User" means an individual authorized by a Customer to use the Service under the Customer's account. "Tenant" means the dedicated workspace and database we provision for a Customer. "Content" means any data, text, files, configurations, or other material that Customers or Users upload, create or generate within the Service.

2. Eligibility & accounts

You must be at least 18 years old and have the legal capacity to enter into a binding contract on behalf of yourself or the entity you represent. You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account. Notify us immediately at security@momentumpro.pro if you suspect unauthorized access.

3. Subscription, plans & billing

The Service is offered on a subscription basis under one of our published plans (Starter, Professional, Enterprise, or any successor plan we publish). Plan terms — including pricing, included quotas, and feature scope — are described on our pricing page and form part of these Terms.

Billing is processed by our payment provider (Lemon Squeezy). You authorize us and our provider to charge the payment method you provide for all fees due, including subscription fees, overages, and add-ons. Subscriptions auto-renew at the end of each billing cycle unless cancelled before renewal.

Fees are quoted in US Dollars (USD) and exclude applicable taxes (VAT, sales tax, etc.) which may be added at checkout depending on your jurisdiction.

4. Free trial

We offer a 14-day free trial for new Customers. No payment method is required to start a trial. At the end of the trial, you may select a paid plan to continue, downgrade to a free tier where available, or let your account expire. We retain trial data for 30 days after the trial ends to allow recovery; after that, we may permanently delete it.

5. Customer content & data ownership

You retain all rights, title and interest in your Content. We claim no ownership over Customer data. By using the Service, you grant us a limited, non-exclusive license to host, process, transmit and display your Content solely as necessary to provide the Service to you.

You are solely responsible for the accuracy, legality, and appropriateness of Content you upload or create. You represent that you have all rights necessary to upload such Content and to grant us the license described above.

We do not use Customer data to train machine-learning models, sell to third parties, or for any purpose unrelated to providing the Service.

6. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
• Upload Content that infringes the intellectual property, privacy, publicity or other rights of any third party;
• Attempt to gain unauthorized access to the Service, other Customers' accounts, or our infrastructure;
• Probe, scan or test the vulnerability of any system or network without our prior written consent;
• Interfere with or disrupt the integrity or performance of the Service, including by sending malware or initiating denial-of-service attacks;
• Use the Service to send unsolicited bulk messages (spam) or otherwise violate anti-spam laws;
• Resell, sublicense, or commercially exploit the Service except as expressly permitted under an Enterprise reseller agreement;
• Reverse-engineer, decompile or attempt to derive the source code of the Service.

We reserve the right to suspend or terminate accounts found in violation of this section without prior notice and without refund.

7. Service availability & SLA

We strive to maintain Service availability of 99.5% on Professional plans and 99.9% on Enterprise plans, calculated monthly excluding scheduled maintenance and force-majeure events. Where an SLA is breached, Enterprise Customers are entitled to service credits as defined in their order form.

Scheduled maintenance is announced at least 48 hours in advance via in-app notification and email. Emergency maintenance for security or stability may be performed without prior notice.

8. Modifications to the Service

We continuously improve the Service and may add, remove or change features at any time. We will not materially reduce the core functionality of a plan during an active billing cycle without offering an equivalent alternative or a pro-rata refund. Beta or experimental features are provided as-is, may be removed at any time, and are not subject to SLA.

9. Term, suspension & termination

Either party may terminate the subscription at the end of the current billing cycle by cancelling through the in-app billing settings or by emailing billing@momentumpro.pro. We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees when due, or pose a security or legal risk to the Service or other Customers.

Upon termination: (a) your access ends at the end of the paid period; (b) we retain your tenant database for 30 days during which you can request a full data export at no charge; (c) after 30 days, we permanently delete the database and all Content. Backups are purged within 90 days.

10. Confidentiality

Each party agrees to protect the other party's confidential information with the same care it uses for its own confidential information, and not less than reasonable care. We treat all Customer Content as confidential.

11. Intellectual property

The Service, including all software, design, logos, trademarks and documentation, is the exclusive property of T&C Technologies LTD. These Terms grant you a limited, non-exclusive, non-transferable license to access and use the Service in accordance with these Terms — no other rights are granted by implication or otherwise.

12. Warranties & disclaimer

The Service is provided "AS IS" AND "AS AVAILABLE". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted or error-free.

13. Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising out of or related to these Terms or the Service shall not exceed the fees paid by you to us during the twelve (12) months preceding the claim. We shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, revenue, data, or goodwill, even if advised of the possibility of such damages.

14. Indemnification

You agree to indemnify, defend and hold us harmless from any claims, damages, liabilities and expenses (including reasonable attorneys' fees) arising out of (a) your use of the Service in violation of these Terms or applicable law; (b) Content you upload that infringes any third-party right; (c) your violation of any obligation under these Terms.

15. Governing law & disputes

These Terms are governed by the laws of the State of Israel, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms shall be resolved exclusively by the competent courts in Jerusalem, Israel, and the parties consent to the personal jurisdiction of those courts.

16. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email and via an in-app notice at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
